Welcome to Morris and Young Chartered Accountants (“Morris and Young,” “we,” “our,” or “us”). These terms and conditions (“Terms”) govern your use of our accounting services, including any consultation, advice, or assistance provided by us.
By engaging with our accounting services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not engage with our services.
Services
a. Morris and Young provides accounting services, including but not limited to tax preparation, financial planning, auditing, and consulting.
b. The scope of services provided by Morris and Young will be as agreed upon between the parties.
c. Morris and Young will perform the services in a professional manner consistent with industry standards.
Fees and Payment
a. The fees for Morris and Young’s services will be as agreed upon between the parties.
b. Payment terms will be specified in the engagement agreement or invoice provided by Morris and Young.
c. Payment is due upon receipt of the invoice, unless otherwise specified.
d. Failure to pay invoices in a timely manner may result in suspension or termination of services.
Confidentiality
a. Morris and Young will maintain the confidentiality of all client information, including but not limited to financial records, tax returns, and personal information, in accordance with applicable laws and professional standards.
b. Client information will only be disclosed to third parties as necessary to perform the services or as required by law.
Intellectual Property
a. All intellectual property rights in any materials provided by Morris and Young as part of the services, including but not limited to reports, analyses, and recommendations, remain the property of Morris and Young.
b. Client may use materials provided by Morris and Young solely for the purpose of the engagement and may not reproduce, distribute, or disclose such materials without the prior written consent of Morris and Young.
Limitation of Liability
a. Morris and Young will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the services, even if advised of the possibility of such damages.
b. Morris and Young’s liability for any direct damages arising out of or in connection with the services will be limited to the fees paid by client to Morris and Young for the services giving rise to the claim.
Termination
a. Either party may terminate the engagement at any time by providing written notice to the other party.
b. Upon termination, client will pay Morris and Young for all services performed up to the date of termination.
Governing Law and Dispute Resolution
a. These Terms and any dispute arising out of or in connection with them will be governed by the laws of Scotland.
b. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Scotland.
Entire Agreement
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
By engaging with Morris and Young’s accounting services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
